PokerVault Terms of Service

(a)These Terms of Service ("Terms") are a binding agreement between you and PKV Tech Inc., doing business as PokerVault ("PokerVault," "we," "us"), and govern your use of the PokerVault mobile application (the "App"), pokervault.com and related websites, the PokerVault Store at merch.pokervault.com (the "Store"), and all related features and services (together, the "Services").

(b)How you accept. You accept these Terms by checking the box "☐ I am 18+ (19+ in AL/NE; 21+ in AZ/MS) and agree to the Official Rules, Terms, and Privacy Policy." before creating an account, by completing a Store purchase, or by otherwise using the Services. The ages in that box apply based on the state where you live (Section 2(a)). Each document named in the box is a separate link where you check it. We keep a record of your acceptance, including the date, time, and versions accepted.

(c)Incorporated documents. Our Privacy Policy (pokervault.com/privacy), Community Guidelines (pokervault.com/community), and the Official Rules of any sweepstakes you enter are part of these Terms. If the Official Rules conflict with these Terms about a sweepstakes, the Official Rules control.

(a)Age and residence. You may use the Services only if you are a legal resident of one of the 50 United States or the District of Columbia, you can form a binding contract, and you meet the minimum age for the state where you live: 18 years of age; 19 in Alabama and Nebraska; and 21 in Arizona and Mississippi. These ages apply based on the state where you live, not the state where you happen to be. You represent that the information you provide about your age and residence is true. If you misrepresent your age, residence, or location, you are solely responsible for the consequences, and we may close your account and void any Entries or prizes.

(b)One person, one account. You may hold only one account, may not share it, and must keep your login credentials confidential. You are responsible for all activity under your account. Tell us immediately at [email protected] about any unauthorized use.

(c)Accurate information. Keep your account information accurate and current.

(a)A record-keeping and organization tool. The Services help private groups organize home games and clubs, record buy-ins, rebuys, and cash-outs that players enter, calculate who owes whom based on those entries, and share game results, notes, and posts.

(b)Not gambling. PokerVault does not offer, host, operate, or conduct real-money gambling, wagering, or gaming of any kind; does not accept or place wagers; does not act as a "house," banker, or card room; and does not charge, collect, or receive any rake, fee, commission, or share of any pot, buy-in, or winnings. No part of our revenue depends on the amount of any game.

(c)No funds. PokerVault does not process, hold, or transfer funds. "Open" and "Settled" are self-reported bookkeeping statuses between players who exchange money privately, outside the app. The App contains no payment button and no link to any payment service. We are not a bank, money transmitter, payment processor, escrow agent, or collection agent.

(d)Not a party to your obligations. We are not a party to, and do not guarantee, enforce, or collect, any payment or debt between users. Disputes between players are solely between those players.

(e)Calculations depend on your inputs. Balances, settlements, statistics, and insights are calculated from information users enter. Check them before relying on them. We are not responsible for errors in user-entered information or for decisions you make based on it.

(f)No professional advice. Nothing in the Services is legal, tax, or financial advice.

(a)Your state and local law governs your games. Laws on private or "social" games played for money differ by state and locality. Some prohibit them entirely; others allow them only in private settings where no one, including the host, profits other than as a player. You are solely responsible for determining and complying with all laws that apply to any game you organize, host, or play, and for any taxes on your winnings. Do not use the Services in connection with any game that is unlawful where it is played.

(b)Prohibited game practices. You may not use the Services to organize, promote, or record any game that: (i) charges or collects a rake, seat fee, time charge, entry fee kept by the host, tip requirement, or any other "house" profit; (ii) is open to the public or advertised to the public; (iii) is operated as a business; (iv) includes any person under the legal age in that state; or (v) involves money laundering, fraud, collusion, or cheating.

(c)Payment services. If you settle with other players using a third-party payment service, you are responsible for complying with that service's terms, which may prohibit payments related to gambling. PokerVault does not recommend, integrate with, or endorse any payment service.

(d)In-person games are at your own risk. PokerVault does not screen users, host games, or supervise gatherings. Hosts are responsible for their premises and guests; players are responsible for their own safety and belongings. Use care before meeting anyone in person.

(e)Home-Game Acknowledgment. If the App asks you to confirm "☐ I understand PokerVault is a record-keeping tool only. It does not process, hold, or transfer money, and I am solely responsible for complying with the laws that apply to my games," you may not use game features until you confirm. Whether or not you are asked, this Section 4 applies to you.

(f)Reporting. We may suspend accounts and report suspected illegal activity to law enforcement.

(a)PokerVault may offer sweepstakes. Each is governed by its Official Rules, available in the App (Settings → About & Legal) and on our website. No purchase is necessary to enter or win, and a purchase will not increase your chances of winning. A free method of entry is always available. Entries may count in more than one drawing, and some Entries must be claimed in the App before they are entered, as the Official Rules describe.

(b)Entries have no cash value; cannot be purchased, sold, traded, transferred, or redeemed for anything; are void where prohibited; and may be voided under the Official Rules for fraud or rule violations.

(c)Apple Inc. is not a sponsor of, affiliated with, or involved in this sweepstakes in any manner.

(a)Store purchases are processed by our Store platform and payment processors, are subject to the Store's posted shipping and refund policies, and are sales of physical merchandise. Prices and availability may change. We may limit or cancel orders we reasonably believe are fraudulent.

(b)Sweepstakes Entries awarded for Store merchandise are governed by the Official Rules. When you open the Store from the App, or sign in on the Store website, your order is linked to your PokerVault account so Entries can be credited. Orders canceled before shipment earn no Entries, and Entries obtained through fraudulent payments or chargebacks are void.

(c)Gift cards (including prize gift cards) are redeemable only for physical merchandise in the Store; are not redeemable for cash except where required by law; cannot be used for Entries, subscriptions, digital items, or in-app items; and do not expire. Buying a gift card earns no Entries; merchandise bought by redeeming a gift card, including a prize gift card, earns Entries as described in the Official Rules.

(d)Paid memberships. We may offer paid PokerVault memberships. Before you buy, we show the price, the billing period, what the membership includes, and how to cancel. A membership renews automatically at the end of each billing period at the price shown until you cancel. Memberships bought in the App are billed by Apple through your Apple ID: cancel in your Apple ID subscription settings at least 24 hours before the renewal date to avoid the next charge, and Apple handles refunds under its policies. Memberships bought on our website can be canceled online at any time, as the checkout page explains, and cancellation takes effect at the end of the current billing period. Deleting your account does not cancel a membership billed by Apple. A membership is never required to enter or win a sweepstakes.

(e)Some states do not allow the exclusion of implied warranties on consumer goods. Nothing in these Terms limits any warranty or remedy that cannot be excluded or limited under applicable law.

(a)Your content. You keep ownership of the posts, comments, photos, notes, and other content you submit ("Your Content"). You grant PokerVault a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute Your Content solely to operate, improve, and promote the Services as you direct (for example, showing your post to your club). This license ends when Your Content is deleted, except for copies other users have shared or that we must keep by law.

(b)Zero tolerance. PokerVault has zero tolerance for objectionable content or abusive behavior. Harassment, hate speech, threats, and content that is illegal or violates another person's rights are prohibited. We remove reported violating content and remove the responsible account, typically within 24 hours.

(c)Reporting and blocking. You can report posts, comments, profiles, and clubs, and block other users, in the App, or email [email protected]. We review reports and may remove content, make a club unavailable or remove its photo, or remove accounts at our discretion.

(d)Your responsibility. You are responsible for Your Content and must have the rights to post it. Do not post other people's personal information without permission.

(e)Copyright complaints. Send notices under the Digital Millennium Copyright Act to our designated agent at [email protected] (subject: "DMCA Notice") or by mail to our address in Section 25. We will terminate the accounts of repeat infringers where appropriate.

Optional AI features (for example, summaries of your notes) send the relevant content to our third-party AI service provider only after you give explicit permission in the App. You can turn AI features off at any time. AI output may be inaccurate or incomplete; review it before relying on it.

(a)Electronic communications. You agree to receive notices, disclosures, and agreements electronically, and that they satisfy any legal requirement that they be in writing.

(b)Service and prize messages. We may send account, security, game, and transactional messages by email, push notification, and in-app message. We notify sweepstakes winners only by email and in-app message. We do not text or call winners about prizes. We text a one-time code to verify a mobile number you add; we do not send SMS alerts.

(c)Marketing. We may send marketing emails, push notifications, and in-app messages; you can opt out at any time. We do not send marketing text messages.

Our Privacy Policy (pokervault.com/privacy) explains how we collect, use, and share personal information, including for marketing.

(a)License. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the App on devices you own or control and to use the Services for personal, non-commercial purposes.

(b)Ownership. The Services, including software, design, text, graphics, and logos, are owned by PokerVault or its licensors and protected by law. "PokerVault" and the PokerVault logo are trademarks of PKV Tech Inc. Third-party names belong to their owners and do not imply endorsement.

(c)Feedback. If you send us ideas or feedback, we may use them without obligation to you.

You may not: violate any law or these Terms; use the Services for any game or activity described in Section 4(b); create multiple or fake accounts; use bots, scripts, scrapers, or emulators; misrepresent your identity, age, residence, or location, including through a VPN; manipulate Entries, reviews, leaderboards, or statistics; interfere with or reverse engineer the Services except as the law allows; harass, threaten, or defraud others; or access the Services from a country or by a person subject to U.S. sanctions.

The Services work with third-party services (for example, Apple and Google sign-in, our Store platform, our sweepstakes administrator, and payment processors). Their terms and privacy policies govern your use of them. We are not responsible for third-party services.

You may delete your account at any time in Settings or by emailing [email protected] from your account email. You may cancel within 30 days by signing back in; after 30 days, the deletion is final. We may suspend or terminate your access, remove content, and void Entries if you violate these Terms or the Official Rules, if required by law, or to protect users or PokerVault. Sweepstakes Entries belong to the account that earned them: a suspended account, or one with a pending deletion request, earns no Entries and sits out drawings; when a deletion becomes final or we terminate an account, its Entries are void and are not restored in any new account, as the Official Rules describe. Sections 3, 4, 6(b), 7(a), 11–13, and 15–25 survive termination.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, POKERVAULT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME STATES DO NOT ALLOW THESE DISCLAIMERS, SO THEY MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW, POKERVAULT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSSES ARISING FROM GAMES YOU PLAY OR DEBTS BETWEEN USERS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to liability that cannot be limited by law, including for fraud, gross negligence, or willful misconduct. New Jersey residents: nothing in these Terms limits any right or remedy that cannot be waived or limited under New Jersey law.

To the extent permitted by law, you will defend, indemnify, and hold harmless PokerVault and its affiliates, officers, employees, and agents from third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from: any game you organize, host, or play; your violation of these Terms or of any law; Your Content; or your dealings with other users.

We may change the Services. We may also update these Terms. For a material change, we will email you at least 21 days before it takes effect and post the updated Terms at pokervault.com/terms. For other changes, we post the updated Terms with a new "Last updated" date. By continuing to use the Services after an update takes effect, you agree to the updated Terms; if you do not agree, stop using the Services, and you may delete your account. No change to these Terms or to any Official Rules voids sweepstakes Entries you have already earned, and changes that affect a sweepstakes take effect only between sweepstakes, except where the law requires otherwise. Changes do not apply to disputes arising before the change, and Section 21 cannot be changed for a pending dispute without your consent.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, and the Federal Arbitration Act governs Section 21.

Before starting an arbitration or court case, a party must send the other a written notice describing the dispute and the relief requested, and the parties will try in good faith to resolve it for thirty (30) days. Send notices to [email protected] (subject: "Dispute Notice") and to our mailing address in Section 25. Any limitations period is paused during this 30-day period.

(a)Scope. Except for (i) claims that qualify for small claims court, (ii) claims to protect intellectual property, and (iii) requests for public injunctive relief, any dispute between you and PokerVault arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and, where applicable, its supplementary rules for mass or multiple case filings, in effect when the arbitration is filed.

(b)Procedure and fees. The arbitrator may award the same individual relief a court could award. We will pay AAA filing, administration, and arbitrator fees as the AAA Consumer Arbitration Rules require. The arbitration will take place in the county where you reside, or by telephone or video. YOU AND POKERVAULT EACH WAIVE THE RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO ARBITRATION.

(c)CLASS ACTION WAIVER. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to any claim, that claim will be decided by a court, not an arbitrator.

(d)Public injunctive relief. Requests for public injunctive relief will be decided by a court after any arbitrable individual claims are resolved.

(e)30-day opt-out. You may opt out of this Section 21 by emailing [email protected] (subject: "Arbitration Opt-Out") within 30 days after you first accept these Terms, stating your name, account email, and that you opt out. Opting out does not affect any other part of these Terms.

(f)Court venue. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in San Diego County, California.

(g)Severability. If any part of this Section 21 is found unenforceable, the rest remains in effect, except as stated in Section 21(c).

If you downloaded the App from the Apple App Store, you and PokerVault acknowledge that:

(a)These Terms are between you and PokerVault only, not Apple Inc. ("Apple"). PokerVault, not Apple, is solely responsible for the App and its content.

(b)Your license to the App is limited to a non-transferable license to use it on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

(c)PokerVault, not Apple, is solely responsible for maintenance and support of the App. Apple has no obligation to provide any maintenance or support services for the App.

(d)PokerVault is solely responsible for any product warranties not effectively disclaimed. If the App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

(e)PokerVault, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws.

(f)If a third party claims that the App or your possession and use of it infringes that third party's intellectual property rights, PokerVault, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of the claim.

(g)You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

(h)Questions, complaints, or claims about the App go to PokerVault at [email protected] or 5965 Village Way, Suite E105-247, San Diego, CA 92130.

(i)You must comply with applicable third-party terms (for example, your wireless data service agreement) when using the App.

(j)Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

You may not use the Services if you are subject to U.S. sanctions or located in an embargoed country, or in violation of U.S. export laws.

These Terms, with the documents incorporated in Section 1(c), are the entire agreement between you and PokerVault about the Services. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only; "including" means "including without limitation."
